Terms and Conditions

Welcome to OMAXON

These Terms and Conditions govern the relationship between OMAXON and its clients regarding the sale of industrial machinery and the licensing of educational technology. By purchasing from OMAXON, you agree to the following terms.

1. Scope of Agreement

These terms apply to all transactions involving OMAXON’s two primary divisions:
. Production Technology: (e.g., Mixers, Sachet Packing, Ampoule Filling Machines).
. Education Technology: (e.g., Smart Boards, Interactive Panels, OM+ Remote, Schools Software).

2. Orders and Quotations

. Validity: Quotations are valid for 30 days unless stated otherwise.
. Acceptance: A contract is formed only upon OMAXON’s written order confirmation.
. Customization: For packing machines, specifications are based on customer samples (film, bags, etc.) provided at the time of order. Any changes to samples after the order may result in price adjustments and delivery delays.

3. Pricing and Payment

. Currency: All prices are in Euros (€) unless otherwise specified.
. Taxes: Prices are exclusive of VAT and import duties unless specifically included in the quote.
. Payment Schedule: * Standard: 50% down payment to initiate the order; 50% balance prior to shipment.
. Software: Subscription fees for the Schools Software Platform are payable in advance.
. Late Payments: Interest may be charged at a rate of 2% above the central bank base rate on overdue balances.

4. Delivery and Risk

. Shipping: Deliveries are typically Ex-Works (EXW) or Free Carrier (FCA) from our European hubs, unless agreed otherwise (Incoterms 2020).
. Risk: Risk of loss passes to the buyer once the goods are handed to the carrier.
. Installation: Onsite support for machine assembly or Touch Panel mounting is subject to a separate service agreement.

5. Software Licensing (OM+ Remote & Platforms)

. License: OMAXON grants a non-exclusive, non-transferable license to use its educational software.
. Restrictions: You may not decompile, reverse engineer, or redistribute OMAXON software.
. Updates: OMAXON reserves the right to push mandatory security updates to OPS PCs and Interactive Panels to ensure system integrity.

6. Warranty and Liability

. Hardware Warranty: 12 months for new machinery and EdTech hardware against manufacturing defects. Consumables and wear-and-tear parts (e.g., seals, filters) are excluded.
. Voiding Warranty: Warranty is void if the equipment is serviced by unauthorized personnel or connected to an unstable power supply.
. Liability Limit: OMAXON is not liable for indirect losses, such as loss of production, loss of school data, or business interruption. Our total liability is limited to the purchase price of the specific product.

7. Intellectual Property

All designs, software code, and technical drawings remain the sole property of OMAXON. Purchase of a machine or Smart Board does not transfer ownership of the underlying intellectual property or patents.

8. Governing Law

These terms are governed by the laws of Cyprus and Greece and the regulations of the European Union. Any disputes shall be settled in the courts of these jurisdictions.
